42:2A-55. Law governing Law governing. The laws of the state under which a foreign limited partnership is organized govern its organization and internal affairs and the liability of its limited partners, and a foreign limited partnership may not be denied a certificate of authority to transact business in this State by reason of any difference between those laws and the laws of this State. L. 1983, c. 489, s. 54, eff. April 1, 1985.
